3.Permitted Use

You may use the Website only for lawful purposes and in accordance with these Terms.

Subject to these Terms, UNIC Evolve grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for personal, educational, informational, and legitimate internal business purposes related to learning about, engaging with, or using UNIC Evolve’s programmes, services, platforms, tools, content, or initiatives.

You may download or print reasonable extracts from publicly available Website pages for your own lawful, non-commercial use, provided that you do not alter the material and do not remove any copyright, trademark, database-right, confidentiality, or other proprietary notices.

4.Proprietary Databases, Datasets, and Compilations

The Website may include or provide access to proprietary databases, datasets, directories, listings, structured data, metadata, indexes, taxonomies, classifications, analyses, records, reports, profiles, platform outputs, or other compilations created, obtained, verified, organized, maintained, curated, enhanced, or presented by UNIC Evolve through substantial investment, expertise, labour, infrastructure, and expense.

All such databases, datasets, directories, listings, structured data, metadata, compilations, and platform outputs are the valuable proprietary assets of UNIC Evolve and/or its licensors and may be protected by copyright, database rights, sui generis database rights, trade secret rights, contract rights, and other applicable intellectual property and proprietary rights.

Except as expressly authorized by UNIC Evolve in a written agreement, you must not:

  1. extract, copy, download, export, reproduce, store, cache, archive, aggregate, mine, harvest, scrape, crawl, index, mirror, frame, or otherwise collect any database, dataset, directory, listing, structured data, metadata, compilation, or substantial part of the Website
  2. repeatedly or systematically extract or re-use insubstantial parts of any database, dataset, directory, listing, structured data, metadata, compilation, or Website content in a way that conflicts with the normal exploitation of the Website or unreasonably prejudices the legitimate interests of UNIC Evolve
  3. use any Website content, database, dataset, directory, listing, structured data, metadata, compilation, or platform output to build, train, validate, enrich, benchmark, operate, improve, or commercialize a competing or substitute product, service, database, dataset, directory, model, platform, or analytical tool
  4. use Website content or data for lead generation, contact harvesting, list building, market mapping, commercial intelligence, competitive monitoring, price comparison, benchmarking, profiling, data resale, data brokerage, or similar purposes
  5. combine Website data with other data sources to create a derived database, dataset, directory, listing, index, model, product, or service
  6. make available to any third party any database, dataset, directory, listing, structured data, metadata, compilation, or platform output obtained from the Website, whether for free or for commercial gain
  7. circumvent technical, contractual, security, rate-limit, authentication, access-control, paywall, robots.txt, or other restrictions that protect the Website or any part of it
  8. use the Website in a way that imposes an unreasonable or disproportionately large load on UNIC Evolve’s systems, infrastructure, vendors, networks, or services

Nothing in these Terms grants any licence to access, extract, re-use, reproduce, distribute, or commercially exploit any UNIC Evolve database, dataset, directory, listing, structured data, metadata, compilation, or platform output.

5.Automated Access and Scraping

Automated access to the Website is prohibited except where expressly authorized in writing by UNIC Evolve.

Without limitation, you must not use robots, spiders, crawlers, scrapers, bots, browser automation, scripts, data-mining tools, extraction tools, screen-scraping tools, API automation, automated queries, or any other automated means to access, search, query, monitor, copy, extract, collect, test, benchmark, or interact with the Website or any content, data, database, dataset, directory, listing, tool, service, or platform made available through it.

General-purpose public search engines may index publicly accessible marketing pages of the Website solely for the purpose of making those pages discoverable in ordinary search results, provided that they comply with applicable technical instructions, including robots.txt and other access-control measures, and do not access restricted areas, databases, datasets, directories, listings, structured data, platform outputs, portals, accounts, forms, or services.

This limited search-engine permission does not authorize scraping, bulk extraction, data mining, re-use of structured data, creation of derivative datasets, or use of Website content for competing, commercial, analytical, machine-learning, or database-building purposes.

6.Prohibited Use

You agree not to:

  1. use the Website in any way that is unlawful, fraudulent, misleading, abusive, defamatory, harmful, or otherwise objectionable

The UNIC Evolve name, logos, marks, trade names, service names, product names, and trade dress may not be used without prior written permission from UNIC Evolve.

All rights not expressly granted in these Terms are reserved.

8.Accuracy of Information

We aim to keep the Website accurate and up to date. However, the Website may contain errors, omissions, inaccuracies, incomplete information, or outdated information.

Content on the Website is provided for general information only and should not be relied on as the sole basis for decisions. Nothing on the Website constitutes:

  1. professional, legal, financial, investment, tax, regulatory, medical, educational, or technical advice
  2. a guarantee of availability, suitability, accuracy, completeness, ranking, outcome, performance, commercial result, funding result, investment result, programme result, employment result, partnership result, or other result

11.User Submissions

You represent and warrant that your User Submissions do not infringe any intellectual property right, privacy right, confidentiality obligation, data protection obligation, contractual obligation, or other right of any person or entity.

By submitting User Submissions, you grant UNIC Evolve a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, display, use, and otherwise handle those User Submissions as reasonably necessary to operate the Website, provide the relevant service, respond to your request, protect our rights, comply with law, and improve our services, subject to the applicable Privacy Policy and any separate written agreement.

Without limitation, UNIC Evolve disclaims all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, compatibility, security, accuracy, availability, completeness, and reliability.

15.Limitation of Liability

To the fullest extent permitted by applicable law, UNIC Evolve and its directors, officers, employees, consultants, agents, representatives, contractors, affiliates, licensors, suppliers, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or similar loss, damage, cost, or expense arising out of or in connection with:

  3. any interruption, suspension, delay, error, omission, inaccuracy, defect, security incident, or malfunction of the Website

17.Remedies for Unauthorized Scraping or Data Use

You acknowledge that unauthorized scraping, extraction, harvesting, copying, re-use, disclosure, commercialization, or misuse of UNIC Evolve’s databases, datasets, directories, listings, structured data, metadata, compilations, platform outputs, or proprietary content may cause substantial and irreparable harm to UNIC Evolve, including harm that may be difficult to quantify.

UNIC Evolve reserves all rights and remedies available under applicable law, including the right to seek injunctive relief, specific performance, damages, account of profits, deletion or return of unlawfully obtained materials, technical blocking, suspension or termination of access, and recovery of legal costs where permitted by law.

Any failure by UNIC Evolve to detect, prevent, or immediately act against unauthorized access, scraping, extraction, copying, re-use, or other breach shall not constitute consent, waiver, licence, or authorization.

18.Termination or Restriction of Access

UNIC Evolve may suspend, restrict, block, or terminate your access to all or part of the Website at any time, with or without notice, where we reasonably believe that:

  1. you have breached these Terms
  2. your use of the Website may infringe or misappropriate UNIC Evolve’s rights or the rights of others
  3. your use of the Website may compromise security, availability, confidentiality, integrity, or performance
  4. your use of the Website may create legal, regulatory, operational, reputational, or commercial risk
  5. we are required or permitted to do so by law, regulation, court order, authority request, or contractual obligation

Termination or restriction of access does not limit any rights or remedies available to UNIC Evolve.

19.Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, the Website, or its use shall be governed by the laws of the Republic of Cyprus, without regard to conflict of laws principles.

Subject to any mandatory rules of applicable law, the courts of the Republic of Cyprus shall have exclusive jurisdiction to hear and determine any such dispute or claim.

20.Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision shall be deemed severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21.Waiver

No failure or delay by UNIC Evolve in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.

22.Assignment

You may not assign, transfer, or delegate any rights or obligations under these Terms without the prior written consent of UNIC Evolve.

UNIC Evolve may assign, transfer, or delegate its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, corporate transaction, or transfer of the Website or related business operations.
